Welcome to Platform Shape. These Terms of Service govern your use of our Infrastructure-as-Code platform and services. By accessing or using Platform Shape, you agree to these terms.

1. Definitions

  • "Platform" refers to Platform Shape, including all associated software, APIs, documentation, and services.
  • "Services" means the infrastructure automation, deployment, and management capabilities provided through the Platform.
  • "Customer" or "you" refers to the organisation or individual accessing the Platform.
  • "Customer Data" means any data, configurations, code, or content you upload, store, or process through the Platform.
  • "Shapes" refers to infrastructure templates and configurations created or used within the Platform.

2. Account Registration and Security

To use Platform Shape, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access
  • Ensuring that your team members comply with these terms

We reserve the right to suspend accounts that show signs of unauthorised access or security compromise.

3. Permitted Use

Platform Shape is designed for legitimate infrastructure automation and deployment purposes. You agree to use the Platform only for lawful purposes and in accordance with these terms. You may:

  • Create, deploy, and manage infrastructure using provided Shapes
  • Develop custom Shapes for your organisation's use
  • Integrate with supported cloud providers and services
  • Access APIs and automation features within rate limits
  • Invite team members within your subscription limits

4. Prohibited Conduct

You agree not to:

  • Use the Platform to deploy malicious code, malware, or conduct cyberattacks
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform
  • Resell, sublicense, or redistribute access to the Platform without authorisation
  • Exceed usage limits or circumvent rate limiting mechanisms
  • Use the Platform to violate any applicable laws or regulations
  • Deploy infrastructure that facilitates illegal activities
  • Interfere with or disrupt the integrity or performance of the Platform

5. Customer Data and Content

You retain all rights to your Customer Data. By using the Platform, you grant us a limited licence to process your data solely to provide the Services.

Your responsibilities:

  • You are solely responsible for the accuracy and legality of your Customer Data
  • You must have necessary rights to use and deploy any configurations or code
  • You are responsible for maintaining backups of your critical data
  • You must comply with all applicable data protection regulations

Our commitments:

  • We will not access your Customer Data except to provide the Services or with your consent
  • We employ encryption and security measures to protect your data
  • Upon termination, we will delete your data according to our data retention policy

6. Intellectual Property

Platform IP: Platform Shape, including its software, design, documentation, and branding, is owned by us and protected by intellectual property laws. These terms do not grant you any ownership rights.

Your IP: You retain ownership of Shapes and configurations you create, subject to any open-source licences of underlying components.

Feedback: Any suggestions, feature requests, or feedback you provide may be used by us to improve the Platform without obligation to you.

7. Service Levels and Support

We strive to maintain high availability and performance. Specific service level agreements (SLAs) may be included in your subscription plan. Support availability varies by plan tier.

We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may occur without notice to address security issues or prevent service degradation.

8. Third-Party Services

Platform Shape integrates with third-party cloud providers (AWS, Azure, GCP, etc.) and other services. Your use of these integrations is subject to those providers' terms of service. We are not responsible for third-party service availability, performance, or terms changes.

9. Billing and Payment

Paid subscriptions are billed according to your selected plan. You agree to:

  • Provide accurate billing information
  • Pay all applicable fees when due
  • Be responsible for any taxes applicable to your purchase

Fees are non-refundable except as required by law or as specified in your subscription agreement. We may change pricing with 30 days notice.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

We do not warrant that infrastructure deployed through the Platform will perform according to your expectations or requirements. You are responsible for testing and validating deployments in appropriate environments.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Infrastructure downtime or deployment failures
  • Costs of procurement of substitute services
  • Any other intangible losses

Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Platform
  • Your Customer Data or deployed infrastructure
  • Your violation of these terms
  • Your violation of any third-party rights

13. Suspension and Termination

By you: You may terminate your account at any time through your account settings or by contacting support.

By us: We may suspend or terminate your access if:

  • You breach these terms
  • Your account is past due on payment
  • Required by law or to prevent harm to other users
  • Your usage poses security risks

Upon termination, your right to use the Platform ceases. You should export your data before termination. We will retain and delete your data according to our Privacy Policy.

14. Changes to Terms

We may modify these terms at any time. For material changes, we will provide at least 30 days notice via email or through the Platform. Continued use after changes take effect constitutes acceptance of the new terms.

15. Governing Law and Disputes

These terms are governed by the laws of England and Wales. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For customers outside the UK, we will attempt to resolve disputes through good faith negotiation before pursuing legal remedies.

16. General Provisions

  • Entire Agreement: These terms, along with our Privacy Policy, constitute the entire agreement between you and Platform Shape.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive future enforcement.
  • Assignment: You may not assign these terms without our consent. We may assign our rights in connection with a merger or acquisition.
